STANDARD TERMS AND CONDITIONS OF SALE
1. Agreement to Terms
By placing an order with Monnestime, accessing our wholesale portal, or conducting any business with us, you ("Buyer," "Customer," or "Account Holder") acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions. These Terms apply to all wholesale transactions, purchase orders, and interactions with Monnestime, a wholesale fragrance distribution company headquartered in South Florida.
Monnestime reserves the right to modify these Terms at any time. Continued business activity following any amendment constitutes acceptance of the revised Terms.
2. Eligibility & Account Requirements
Monnestime operates exclusively as a business-to-business (B2B) wholesale distributor. By placing an order, you represent and warrant that:
• You are purchasing goods for resale or business use, not personal or consumer use.
• You are a legally registered business entity in good standing.
• You have the authority to enter into binding agreements on behalf of your business.
• All account information you provide is accurate, current, and complete.
Monnestime reserves the right to verify your business credentials and decline service to any party at our sole discretion.
3. Orders, Pricing & Payment
All prices are quoted in U.S. dollars (USD) and are subject to change without notice. Pricing shown at the time of order confirmation is binding for that specific transaction only.
Orders are not considered confirmed until Monnestime provides written or electronic confirmation. We reserve the right to cancel or refuse any order for reasons including, but not limited to, pricing errors, inventory availability, or suspected misuse of account privileges.
Payment terms will be specified at the time of account setup. Failure to remit payment by the agreed due date may result in suspension of account privileges, application of late fees, and referral to collections.
4. Refund & Return Policy
All sales are considered final. Monnestime does not accept returns or issue refunds except under the following specific and verified circumstances:
• The item(s) received are in poor or damaged condition, rendering them unsellable or unusable.
• The item(s) received are non-functional or completely unusable due to a defect attributable to Monnestime.
• The item(s) received are confirmed to be inauthentic or counterfeit, inconsistent with the brand and product represented in the order.
Refund or return requests must be submitted in writing to Monnestime within 48 hours of confirmed delivery. Requests submitted outside of this window will not be considered under any circumstances.
All claims must be accompanied by photographic or video evidence clearly documenting the reported condition of the product(s). Monnestime reserves the right to independently verify all claims prior to approving any refund or return authorization.
Approved refunds will be issued in the form of store credit or replacement product at Monnestime's sole discretion, unless otherwise agreed upon in writing. Cash refunds are not guaranteed.
Monnestime does not accept returns of items that have been opened, used, altered, relabeled, or resold, except in cases of confirmed inauthenticity.
5. Shipping, Delivery & Carrier Liability
Once an order has been tendered to the carrier, Monnestime's responsibility for that shipment is fulfilled. Monnestime is not liable for any delays, damages, losses, thefts, or misdeliveries that occur during transit.
All shipping-related issues — including but not limited to late deliveries, damaged packages in transit, lost parcels, or incorrect deliveries by the carrier — are the sole responsibility of the shipping carrier. Monnestime will provide tracking information and assist with the filing of claims where possible, but bears no financial liability for carrier errors or failures.
By placing an order, you agree that any claims related to transit damage, loss, or delay must be filed directly with the carrier using the shipment tracking information provided. Monnestime will cooperate in good faith to support such claims but is not obligated to issue refunds or replacements for carrier-caused incidents.
Estimated delivery dates provided at the time of order are not guaranteed. Monnestime is not responsible for delays caused by weather, carrier capacity, customs, or other factors outside our direct control.
6. Missing or Incomplete Shipments
Monnestime will only consider compensation for shipments that are not delivered in full — meaning one or more items confirmed on the packing slip or invoice were not received. The following conditions must be met for any claim to be considered:
• The incomplete delivery must be reported to Monnestime in writing within 48 hours of the carrier's confirmed delivery timestamp.
• The claim must identify the specific item(s) believed to be missing, referencing the corresponding order number and invoice.
• The customer must retain all original packaging materials, packing slips, and shipping labels, as these may be required for verification.
Claims reported after the 48-hour window will not be eligible for compensation under any circumstances. Monnestime reserves the right to investigate all incomplete shipment claims, including review of packing records, carrier documentation, and video surveillance where available, before issuing any resolution.
Compensation for verified incomplete shipments will be provided in the form of replacement product for the missing item(s) or a credit applied to the customer's account. Monnestime does not guarantee monetary refunds for incomplete shipments.
7. Product Authenticity
Monnestime warrants that all products offered for sale are authentic and sourced through legitimate wholesale supply channels. We take the authenticity of our inventory seriously and conduct due diligence in vetting our suppliers.
In the event a customer believes they have received an inauthentic product, they must notify Monnestime within 48 hours of delivery with supporting evidence. Monnestime reserves the right to have the product independently authenticated before taking any action. If inauthenticity is confirmed, Monnestime will provide a replacement or store credit as the sole remedy.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Monnestime's total liability to any customer for any claim arising out of or related to a transaction shall not exceed the total amount paid by the customer for the specific order giving rise to the claim.
Monnestime shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost revenue, loss of business opportunity, or reputational harm, regardless of whether Monnestime was advised of the possibility of such damages.
9. Governing Law & Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or any transaction with Monnestime shall first be submitted to good-faith negotiation between the parties. If resolution cannot be reached, disputes shall be submitted to binding arbitration in Miami-Dade County, Florida, in accordance with the rules of the American Arbitration Association.
